On the day of Shri Managing Director Of Limited, a Company incorporated under the , and having its Registered Office at attended the Branch Office of Bank/Institution and saw Shri of I.O.B and of BICICO

The said Shri deposited the documents of title, evidences, deeds and writings, more particulary specified in the first Schedule hereunder written (hereafter called "the said Title Deeds") in respect of the Company's immoveable properties more particularly described in the Second Schedule hereunder written with Shri of I.O.B., IOB acting for itself and as Agent of BICICO with an intention to create a security by way of mortgage by deposit of Title Deeds on the Company's immoveable properties together with the buildings and other structures, fixed plant and machinery, fixtures and fittings, constructed, erected or installed thereon or to be constructed, erected or installed thereon (hereinafter referred to as "the said immoveable properties"), for securing the due repayment and discharge by the Company of;

1. The Term Loan of agreed to be lent under advanced by in terms of Sanction Letter dated

AND

2. The Term Loan of agreed to be lent and advanced by BICOCO together with interest, Compound Interest and/or additional interest in case of default, commitment charges at the respective agreed rates, prepayment premia, costs, charges, expenses and other moneys including any increase as a result of devaluation/revaluation/fluctuation in the rates of exchange of foreign currencies involved, payable by the Company to IOB and BICICO respectively, under their respective Heads of Agreement/Loan Agreement.

While depositing the Title Deeds on behalf of the Company stated that he was authorised to do so by the Company by Resolutions passed by the Board of Directors of the Company at their Meeting held on and he produced a copy of the Resolution to Shri and further stated that said resolutions had not been modified or rescinded and that the same were in full force and effect.
